Terms of Service

These Terms of Service ("Terms") are an agreement between you and Levmetrics Inc. ("Levmetrics", "we", "us", or "our"). Levmetrics provides API and application-based document-intelligence solutions that extract, structure, validate, and analyze documents and related operational data for financial and supply-chain workflows.

By accepting these Terms, creating an account, downloading any part of the Service, or otherwise using the Service, you agree to be bound by these Terms and certify that you have all necessary rights and authority to do so. If you enter into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Services

Subject to these Terms and payment of applicable fees, Levmetrics will provide the Service to you. You confirm that you have read, understood, and will comply with these Terms and our Privacy Policy.

2. Grant of Rights

Subject to these Terms and payment of applicable fees, Levmetrics grants you a non-exclusive, non-transferable, non-sublicensable right and license, during your subscription term, to access and use the Service and related documentation solely for your internal business purposes in accordance with your plan or order form.

If you access the Service through APIs, you may use API credentials solely to obtain outputs permitted by your configuration and these Terms, and you may maintain a reasonable number of credential copies for testing, backup, or archival purposes.

3. Restrictions on Use

Except as expressly permitted, you will not (and will not authorize any third party to):

• Allow anyone other than your authorized personnel to access and use the Service.
• Share credentials, API keys, or access tokens with unauthorized persons.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discern the source code, models, or protocols of the Service, except where prohibited by law.
• Modify, adapt, copy, or create derivative works from the Service.
• Resell, distribute, sublicense, or make the Service available to third parties except as expressly permitted.
• Use the Service for the benefit of any unauthorized third party or for any unlawful purpose.
• Archive or export Service components outside intended outputs, except Customer Data and reports generated through normal functionality.
• Remove or alter proprietary notices or restrictive legends.
• Circumvent security, rate limits, or other safeguards, or use the Service to build a competing product or service.

3.1 Prohibited Content

You will not use the Service to process material that:

• Is unlawful, defamatory, fraudulent, or infringes intellectual property or privacy rights.
• Facilitates illegal activity or prohibited goods or services.
• Is false, misleading, or constitutes an unfair trade practice.
• Introduces malware or harmful code into the Service or third-party systems.
• We reasonably believe is inappropriate or inconsistent with the intended use of the Service.

4. Consent

You are responsible for obtaining all consents and lawful bases required from individuals ("End Users") whose personal or financial information appears in documents or data you submit, including consent for Levmetrics to collect, store, use, reproduce, transfer, and otherwise process such data to provide the Service, and for your receipt and use of outputs.

Levmetrics is not responsible for obtaining consents on your behalf for your use of outputs or Customer Data after delivery.

5. Compliance and End User Data

Each party will comply with applicable law in exercising its rights and performing its obligations. In connection with the Service, Levmetrics acts as a processor/service provider with respect to Customer Data you submit, and you act as the controller for that data unless otherwise agreed in writing.

Levmetrics does not act as a consumer-reporting agency. You are solely responsible for how you use outputs in credit, lending, employment, or similarly significant decisions, including appropriate human review.

6. Third Parties and Infrastructure

The Service relies on third-party cloud, AI model, and infrastructure providers. Your use may be subject to additional terms imposed by those providers. Levmetrics is not responsible for third-party services we do not control. Changes initiated by third parties may affect functionality, and Levmetrics disclaims liability for resulting interruption or loss to the extent permitted by law.

Levmetrics is not responsible for your hardware, software, networks, or integrations required to access the Service.

7. Fees and Payment

Fees, billing frequency, and included features are as described at purchase or in your order form. Unless stated otherwise: subscriptions renew automatically unless cancelled before the renewal date; fees are exclusive of taxes; fees are non-refundable except where required by law; we may change pricing with prior notice effective at the next renewal; and late or failed payments may result in suspension or termination.

8. Free Trials and Beta Features

We may offer trials or beta features provided "as is", which may be changed, limited, or withdrawn at any time and may not carry the same support commitments as generally available features.

9. Modifications

We may modify the Service by adding, changing, or removing features. We may amend these Terms by posting updated terms on this page and updating the effective date. Continued use after notice constitutes acceptance of amended terms, to the extent permitted by law.

10. Retention and Use of Data

10.1 Anonymised Data

We may create anonymised or aggregated data that does not identify you or any individual. We may use such data to operate, improve, and develop the Service and for analytics, research, and other lawful business purposes.

10.2 Customer Data

You retain ownership of Customer Data. You grant Levmetrics a worldwide, non-exclusive, royalty-free, sublicensable license to host, process, transmit, display, and modify Customer Data solely to provide, maintain, secure, and improve the Service, as described in these Terms and our Privacy Policy.

10.3 Feedback

You grant Levmetrics a perpetual, irrevocable, royalty-free license to use feedback and suggestions without restriction.

11. AI Outputs and No Professional Advice

The Service uses AI/ML models to analyze documents and generate outputs such as extracted fields, validations, scores, and risk flags. Outputs are probabilistic and may contain errors. They are provided for informational purposes only and do not constitute legal, financial, accounting, lending, compliance, or other professional advice. You are solely responsible for reviewing outputs and for decisions you make using the Service.

12. Confidentiality

Each party will protect the other's confidential information using at least reasonable care and use it only as necessary to perform under these Terms. We may enter into a separate Non-Disclosure Agreement where appropriate.

13. Representations and Warranties

Each party represents that it has authority to enter into these Terms and that doing so does not violate applicable law or other binding agreements.

14. Intellectual Property

Except for the limited license granted here, Levmetrics retains all rights in the Service, software, models, designs, and documentation. No ownership transfers except as expressly stated.

15. Indemnification

You will defend, indemnify, and hold harmless Levmetrics from claims arising out of Customer Data, your breach of these Terms (including Sections 3–5), your use of outputs, or violation of law or third-party rights. Levmetrics will indemnify you against third-party claims that the Service, used as permitted, infringes intellectual property rights, subject to standard exclusions and remedies.

16. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill. Levmetrics' aggregate liability arising from these Terms will not exceed the fees you paid in the twelve (12) months before the claim, except where liability cannot be limited by law.

17. Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

18. Termination

Either party may terminate for material breach not cured within thirty (30) days of written notice. We may suspend or terminate immediately for non-payment, security risk, or serious breach of Sections 2–5. Upon termination, your access ends; you may export Customer Data within a limited period, after which we may delete it per our retention practices and Privacy Policy.

19. Miscellaneous

19.1 Assignment

You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.

19.2 Publicity

Unless you opt out in writing, we may identify you as a customer and use your name and logo in marketing materials and on our website.

19.3 Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts in India have exclusive jurisdiction, subject to mandatory rights you may have under applicable law.

19.4 Notices

We may send notices to the email associated with your account. Notices to Levmetrics must be sent to the contact details below.

19.5 Force Majeure

Neither party is liable for delay or failure to perform (except payment obligations) due to causes beyond reasonable control, provided reasonable efforts are used to mitigate.

19.6 Severability

If any provision is unenforceable, the remainder remains in effect.

19.7 Relationship

Nothing here creates a partnership, joint venture, or agency relationship between the parties.
